The chairmanship of Tata Sons can change. The institution itself is expected to endure. That simple distinction has become central to the increasingly public dispute over N. Chandrasekaran&rsquo;s reappointment.
On August 12, Chandrasekaran informed the Tata Sons board that he would not seek another term after February 20, 2027. Tata Trusts accepted that decision and called for a Selection Committee to be constituted to identify his successor.
But the succession process was overtaken by a fresh board decision. After the Nomination and Remuneration Committee asked Chandrasekaran to reconsider, he agreed to continue. On September 17, the Tata Sons board approved a five-year extension.
Four directors voted for the proposal. Noel Tata, chairman of Tata Trusts and a nominee director, voted against it. Chandrasekaran did not vote. Reuters reported that the board&rsquo;s decision exposed a sharp disagreement between Tata Sons and the Trusts, which control about 66&#37 of the holding company.
The Trusts have not accepted the board decision as final. In a statement on September 20, they said the Articles of Association require affirmative support from a majority of their nominee directors for chairman-related decisions. With one of the two nominees voting against Chandrasekaran&rsquo;s reappointment, the Trusts argue that the required support was absent.
The Trusts also rejected the suggestion that the split among their nominees could be treated as a deadlock and resolved through the meeting chairman&rsquo;s casting vote. Their position is that the special approval requirement is separate from the overall board vote.
Whether that interpretation ultimately prevails is a matter for the company&rsquo;s governing documents and any appropriate legal process. What is already clear is that Tata Sons now faces a governance dispute over the mechanism itself.
That matters because Tata Sons is not merely an operating company. It is the principal holding company of the Tata Group, with interests across some of India&rsquo;s most prominent businesses. Tata Trusts&rsquo; majority ownership also links the company to a philanthropic model in which dividends support charitable activities.
A chairman therefore represents one part of the structure. The governance architecture around the chairman represents another.
The episode also comes against a separate dispute over the future of Tata Sons as an unlisted company. The Reserve Bank of India has rejected the company&rsquo;s request to surrender its core investment company registration, and Tata Sons has moved towards examining listing options. Tata Trusts has opposed listing and asked the company to explore alternatives.
Taken together, the two issues show why the current disagreement is bigger than a single board vote. One concerns who leads Tata Sons. The other concerns how the holding company itself should be structured.
Both ultimately come back to institutional decision-making.
Boards can change their minds. Executives can reconsider earlier decisions. Shareholders can disagree with directors. But each of those actions must operate within a framework of rights and procedures.
The present dispute will test how that framework works in practice.
For Chandrasekaran, the immediate question is whether the five-year reappointment approved by the board survives the challenge from the Trusts. For Tata Sons, the larger question is how it will manage a period in which its board and controlling shareholder are not speaking with one voice.
The chair may be occupied by one individual today and another tomorrow.
The institution, however, has to keep functioning through both.
For an institution built to span generations, that continuity is the real &ldquo;GOLD STANDARD OF GOVERNANCE&rdquo;: the chair can change, but the framework protecting the institution must endure.
